Announces Joint Venture

07/01/2001- Quality Assurance Systems International, LLC (QASI)
announces the completion of the agreement between AEII, LLC and
CR Management, Inc in forming a partnership company, QASI, LLC. The QASI
Partnership was formed to provide the Collision Repair Industry a cost effective
solution of process improvement utilizing the new ISO 9000:2000 series of
international standards.

ISO Standards are the most recognized standards internationally for process
documentation, focusing on the Customer's expectations, and continuous
improvement. ISO, International Organization for Standardization, has recently
updated the standards for small business and can be applied to improve an
organization's processes, controls, and profitability.

Tony Passwater, President - AEII, LLC and James "Jake" Snyder, President -
CR Management, both concur, " This is an exciting venture for both our companies,
and we believe the products and services, we will be rolling out as QASI, LLC
by NACE 2001 will be revolutionary and long overdue for our Industry."

The introduction of QASI's first product offering, The Q-Manager, will coincide
with NACE and be available for purchase. This self paced Quality Assurance
System will make a difference in operations immediately and is designed to
lead collision repair facilities to become ISO 9001:2000 certified by an
independent 3rd Party Auditor.
